分割股票訴訟和解獲准 Google可發行C股

一名美國法官28日批准Google和股東的和解案，允許Google可分割股票並發行新的無投票權股票。

德拉瓦州地方法院法官斯特林的這項裁決，為Google發行「C股」掃除障礙，且允許兩名創辦人布林與佩吉和其他股東一樣，未來可持有等同於手上B股數量的C股。

佩吉和布林合計持有Google流通在外股票的15%，但兩人掌握56%的股東投票權，因為他們持有的B股每股有10票投票權。Google宣稱，藉發行新的無投票權股票，能持續回饋員工與籌措併購資金，同時維護兩人的投票權。

但此舉遭股東提起集體訴訟，指控兩人分割股票有自我圖利與欺騙股東之嫌。

根據和解協議，倘若新股在交易一年後價格低於現有的股票，Google必須提供某種價格支撐，作為對無投票權股票持股人的補償。Google股價28日下跌0.2%，收在每股1,015美元。
