股票增值權計畫 放寬避險限制

為滿足實施股票增值權（Stock Appreciation Right, SAR）計畫的避險需求，及降低公司執行員工激勵措施之成本，櫃買中心表示，自即日起開放實施股票增值權計畫之公司，得與證券商從事買入連結自己公司股票之買權，不受上市櫃公司不得從事連結自己公司股權相關衍生性金融商品交易之限制。

櫃買中心表示，本次開放「證券商為股票增值權計畫提供避險交易服務」的範圍，在商品項目部分，開放實施股票增值權計畫之公司，得從事買入連結自己公司股票之買權。而在履約方式部分，為避免公司履約時收回自己公司之股份而違反公司法第167條之規定，因此，公司在到期履約時，只能選擇現金結算。

而在從事交易所需文件部分，公司須提供文件證明交易係基於發行股票增值權避險所需後，始得辦理。

另外，櫃買中心亦提醒證券商，未來開辦「為股票增值權計畫提供避險交易服務」業務時，應先確認公司係基於股票增值權之避險需要，並取得合理可信之佐證依據之後，才可與公司進行交易。

而且在承作數量及期間方面，證券商亦應進行審核，不得逾越公司該次股票增值權計畫之必要範圍，以杜絕不法交易之發生。
